Terms of Service
These terms govern your use of eluxauto.com and the ELUX Automotive investor portal (together, the "Site"), operated by ELUX Automotive ("ELUX", "we", "us"). By using the Site, you agree to these terms. If you do not agree, please do not use the Site.
1. Information only, not an offer
The Site is provided for general information. Nothing on the Site is an offer to sell, or a solicitation of an offer to buy, any securities or other interest in ELUX Automotive. Any offering will be made only through formal offering documents, to eligible investors, in compliance with applicable securities laws. Nothing on the Site is investment, legal, tax, or financial advice.
2. Forward-looking statements and imagery
The Site contains forward-looking statements, including plans, targets, timelines, and projections. They are based on current expectations and involve risks and uncertainties, so actual results may differ materially. All vehicle specifications, performance figures, range estimates, and pricing are targets only and are not production commitments. Partnerships and supplier relationships described are illustrative targets unless expressly stated. All vehicle and facility imagery is artistic rendering for illustrative purposes. We are under no obligation to update forward-looking statements.
3. Investor portal
Access to the investor portal is granted at our discretion to prospective investors and their advisers. If you are given access, you agree that:
- You will keep your access credentials confidential and will not share them.
- The materials in the portal, including the investor presentation and any downloads, are confidential. You will use them only to evaluate a potential investment in ELUX Automotive and will not copy, publish, or distribute them outside your organization and professional advisers without our written consent.
- We may change, suspend, or revoke access at any time, and you will delete downloaded materials if we ask you to.
Any separate confidentiality or non-disclosure agreement between you and ELUX Automotive takes precedence over this section.
4. Registration
If you register for investor access, the information you provide must be accurate and your own. Submitting a registration does not guarantee access. Our handling of the information you provide is described in our Privacy Policy.
5. Acceptable use
You agree not to misuse the Site, including by attempting to gain unauthorized access to the portal or our systems, interfering with the Site's operation or security, submitting false or automated registrations, or scraping or copying content at scale.
6. Intellectual property
The ELUX name, the ELUX X mark, vehicle names, designs, sketches, renderings, text, and other content on the Site are owned by or licensed to ELUX Automotive and are protected by intellectual property laws. You may view the Site for your own information. No other use is permitted without our written permission.
7. Third-party services
The Site relies on third-party services and may link to other websites. We are not responsible for their content or practices.
8. Disclaimer
The Site and its content are provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of accuracy, completeness, merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the Site will be uninterrupted, secure, or error free.
9. Limitation of liability
To the fullest extent permitted by law, ELUX Automotive and its directors, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, investment, data, or goodwill, arising from your use of, or reliance on, the Site or its content. Nothing in these terms limits liability that cannot be limited under applicable law.
10. Indemnity
You agree to indemnify ELUX Automotive against claims, losses, and expenses, including reasonable legal fees, arising from your breach of these terms or misuse of the Site.
11. Governing law
These terms are governed by the laws of Canada and the laws of the province in which ELUX Automotive is registered, and the courts of that province have exclusive jurisdiction over any dispute arising from them.
12. Changes
We may update these terms from time to time. The effective date above shows when they last changed, and continued use of the Site means you accept the updated terms.
